These Terms of Use (“Terms”) govern your access to and use of the Hipa.ai platform (“Service”), operated by Botmakers LLC, a Delaware limited liability company with offices at 2093 Philadelphia Pike #1986, Claymont, DE 19703 (“Company,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
Eligibility depends on which part of the Service you use.
- Public surfaces (clinical trials directory, drug history and update pages, news and research articles, the public MCP connector and API, the browser extension): free, no account required, no professional credentials required. You must be at least 18 years of age.
- ABA workforce vertical (job listings, salary data, company profiles, provider directories, and any associated paid features): intended for Board Certified Behavior Analysts (BCBAs), Registered Behavior Technicians (RBTs), and other authorized ABA professionals. You must be at least 18 years of age, authorized to enter into binding agreements on behalf of yourself or your organization, and hold valid professional credentials where required by applicable law.
2. Account Registration
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account.
3. Description of Service
Hipa.ai is a healthcare data platform operating across several public surfaces:
- A free clinical trials discovery directory covering recruiting and active studies across the United States, with state, city, and condition landing pages and per-study detail pages.
- Drug history pages, FDA and trial update articles, monthly state-level research, and weekly NPI provider news.
- A workforce intelligence vertical for the ABA therapy industry: job listings, salary data, company profiles, and provider directories for Board Certified Behavior Analysts (BCBAs), Registered Behavior Technicians (RBTs), and other ABA professionals.
- A public, read-only Model Context Protocol (MCP) connector and API endpoint at hipa.ai/mcp. This endpoint requires no account or authentication and exposes only publicly available U.S. clinical trials information.
- The Hipa.ai browser extension, distributed through the Chrome Web Store and Microsoft Edge Add-ons, which mounts a small drug-history context panel on clinicaltrials.gov study pages and fetches data from the public API above.
None of these surfaces provide access to account data, professional credentials, or protected health information through the public API or the browser extension. References to the “Service” in these Terms include the public connector, API, and browser extension.
4. Professional Responsibility
The Service provides data and information to assist your career and business decisions. You are solely responsible for verifying any information before acting on it. Data including salary estimates, job listings, and company profiles may contain inaccuracies. You acknowledge that:
- Salary data and workforce statistics are estimates based on aggregated public sources and may not reflect actual compensation.
- Job listings are sourced from third parties and may be outdated or inaccurate.
- The Service does not provide employment advice, clinical recommendations, or treatment decisions.
- Clinical trials information provided through the public connector and API is sourced from public datasets, may be incomplete or outdated, and is informational only - it is not medical advice and not a substitute for consultation with a qualified healthcare provider.
5. Acceptable Use
You agree not to:
- Use the Service to distribute fraudulent or misleading job listings or company information.
- Upload or transmit content that violates any law, regulation, or professional ethics code, including HIPAA.
- Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms.
- Share your account credentials with unauthorized third parties.
- Use the Service in any manner that could damage, disable, or impair its functionality.
- Abuse the public MCP connector or API, including circumventing rate limits or placing excessive automated load on the endpoint.
- Misuse the browser extension or its bundled assets, including republishing it through unofficial channels, modifying it to circumvent rate limits, or violating Chrome Web Store or Microsoft Edge Add-ons developer policies through its installation or use.
6. Data Protection
We implement administrative, physical, and technical safeguards to protect your account data, including encryption at rest and in transit, managed identity authentication, and production infrastructure hosted on Microsoft Azure.
7. Intellectual Property
The Service, including its software, design, AI models, and documentation, is owned by Botmakers LLC and protected by copyright, trademark, and other intellectual property laws. You retain ownership of all clinical data and documents you create using the Service. We do not claim ownership of your content.
8. Data Use
Your account data is used solely to provide the Service to you. Aggregate, de-identified usage metrics (such as feature usage frequency) may be used to improve the platform.
9. Subscription and Payment
Certain features of the Service may require a paid subscription. Fees, billing cycles, and payment terms are presented at the time of purchase. All fees are non-refundable except as required by applicable law or as expressly stated in a separate written agreement. We reserve the right to change pricing with 30 days’ written notice.
10. Termination
You may close your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, we will make your data available for export for 30 days, after which it may be permanently deleted in accordance with our data retention policy.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTMAKERS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, DENIED INSURANCE CLAIMS, REGULATORY PENALTIES, OR DAMAGE TO PROFESSIONAL REPUTATION, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Botmakers LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your submission of documents generated using the Service.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
